Supplier's Guidelines

 

Supplier’s Guidelines define the minimum standards that must be met by the Customer to ensure that Dedoles’ brand image, intellectual property (IP), and product presentation are protected and consistently applied across all approved sales environments, including physical retail stores, online stores, online marketplaces and special events.

A. Guidelines for Physical Retail Stores

1. Store Approval Process

  • All physical retail stores intending to sell the Supplier’s Goods must be approved in writing by the Supplier.
  • For this purpose, the Customer shall submit:
    • Store name and address
    • Store type (e.g., multi-brand, concept store, outlet)
    • Photos of the store interior and exterior
    • Description of how and where the Supplier’s Goods will be displayed

2. Brand Presentation & Visual Merchandising

  • The Supplier may provide the Customer with the brand logo and brand elements upon request. The Customer is permitted to use it exclusively for:
    • In-store signage to indicate the availability of the Supplier’s Goods
    • Window displays or other promotional purposes within or directly related to the retail space
  • The Customer may not use the Supplier’s name or logo:
    • As the name or primary identity of the store
    • On exterior store signage in a way that suggests the store is owned, operated, or officially branded by the Supplier
    • In any way that may mislead customers into believing the store is a franchise or exclusive brand store of the Supplier
  • Any materials created using the Supplier’s logo or brand elements must:
    • Be professional and brand-appropriate
    • Not be combined with other branding that dilutes or misrepresents the Supplier’s brand
    • Be submitted to the Supplier for prior written approval if requested
    • Comply with the intellectual property terms of the Supplier
  • The display of Supplier’s Goods must remain clean, organized, and clearly distinct from other brands sold in the store.

3. Store Environment & Standards

  • The store must be clean, well-maintained, and professional in appearance.
  • No counterfeit or imitation products may be sold.
  • Products must be sold with Supplier’s original labels and packaging unless otherwise agreed.
  • Product pricing and promotion must be fair and not misleading.
  • The Supplier reserves the right to revoke approval if the store’s standards decline.

4. Monitoring & Compliance

  • The Supplier reserves the right to:
    • Conduct in-person or virtual inspections of the store
    • Request updated photos or descriptions at any time
    • Withdraw approval if non-compliance is identified and not corrected within a specified timeframe
  • The Customer agrees to cooperate in good faith with any such inspection or request.

B. Guidelines for Sales on Customer's own Online Stores

1. Domain Name and Branding

  • The Customer’s online store must not use the Supplier’s name, brand, or logo in the domain name, store name, or website header (e.g., not allowed: www.dedolesshop.com or “Dedoles Online Store”).
  • The Customer must clearly present the webshop as its own independent business, not an official or exclusive Dedoles site.
  • The Dedoles logo may be used only to identify the brand of the Goods being sold, and only in accordance with the intellectual property terms of the Supplier.

2. Product Presentation

  • The Customer must present Dedoles Goods in a way that accurately reflects the quality, design, and branding of the original goods.
  • If needed, the Supplier will provide:
    • Basic product photos (e.g., packshots, white background images) for use on the Customer’s online store;
    • Lifestyle photos (e.g., model or setting photos) if available, and subject to signing a separate Licensing agreement between the Contracting parties.
  • All photos are provided:
    • Either via direct download links shared by the Supplier, or
    • Through access to an organized photo database (e.g., Dropbox or other cloud storage service)
  • The Customer is not permitted to modify or alter the supplied images (e.g., add logos, filters, or overlays), except for standard resizing or cropping for web display.

3. Website Design & User Experience

  • The online store must maintain a professional appearance, including:
    • Clear navigation and categorization
    • Accurate stock availability
    • Secure checkout and data protection
  • The Supplier’s Goods should be presented in a dedicated category or filtered section, especially if the site sells multiple brands.

4. Customer Communication

  • The online store must not present itself as an official Dedoles website.
  • Any mention of the relationship with Dedoles must be truthful and approved (e.g., "Authorized Reseller of Dedoles Products" may be acceptable upon written approval).
  • The Customer must handle after-sales service (e.g., returns, complaints) in accordance with the applicable consumer protection laws and to the standard expected of the Dedoles brand.

5. Monitoring and Compliance

  • The Supplier reserves the right to review the Customer’s online store at any time.
  • Upon request, the Customer must provide access to URLs, screenshots, and information about Dedoles product listings.
  • The Supplier may request corrections or revoke approval if any guideline is breached.

C. Guidelines for Sales on Online Marketplaces

The following rules apply to all sales of the Supplier’s Goods conducted by the Customer through third-party online marketplaces.

1. Approved Platforms (Compliant Marketplaces)

  • The Customer is permitted to sell the Supplier’s Goods only on online marketplaces that are pre-approved by the Supplier (Compliant Marketplaces). The list of Complaint Marketplaces is available upon request.
  • The Supplier will approve platforms based on their ability to support:
    • Enforcement of intellectual property rights
    • Brand protection tools (e.g., brand registry, content control)
    • Quality control over product listings, customer service, and returns

2. Seller Account Requirements

  • The Customer must operate a professional business seller account, registered under their legal business name.
  • The seller account must not use the Supplier’s name or logo as its store name, profile name, or brand name.
  • The listing must clearly identify the Customer as the seller and may only reference the Supplier’s brand in connection with the specific Goods being sold.
  • Any attempt to impersonate the Supplier or misrepresent the relationship (e.g., “official Dedoles store”) is strictly prohibited.

3. Product Listings & Branding

  • The Customer may use product names, images, and descriptions only as provided or authorized by the Supplier.
  • Listings must accurately reflect the original Dedoles products and may not use misleading titles, keywords, or categories.
  • Product bundles or promotions involving third-party goods are not allowed unless explicitly approved in writing.

4. Pricing, Returns, and Customer Service

  • The Customer is responsible for:
    • Ensuring fair pricing that aligns with brand positioning
    • Managing returns and customer complaints in a professional manner
    • Maintaining a high-quality customer experience consistent with the brand’s values

5. Monitoring and Compliance

  • The Supplier may monitor listings on approved marketplaces at any time and request corrections or removal of non-compliant listings.
  • The Customer shall, upon request, promptly provide the Supplier with access to relevant seller account information, including seller name, URLs to product listings, visual documentation of listings, and other data necessary to monitor compliance with the marketplace Guidelines.
  • Non-compliance with these guidelines may result in withdrawal of approval to sell on specific marketplaces, and may be considered a material breach of GTCS.

D. Guidelines for Sales at Special Events (Fairs, Markets, Pop-Up Stores)

These guidelines apply to any temporary or event-based sales activities conducted by the Customer, including fairs, markets, seasonal kiosks, festivals, and other short-term points of sale.

1. Approval Requirement

  • The Customer must notify the Supplier in advance of any planned participation in such events and obtain prior written approval for selling Dedoles products at the event.

2. Brand Representation

  • The event booth or sales point must not be presented as an official Dedoles stand or imply franchising or ownership by Dedoles.
  • The Dedoles logo may be used for signage only with prior approval, and only for the purpose of identifying the brand of the Goods being sold.
  • The Supplier’s logo or name may not be used as the name of the stand or booth.

3. Product Presentation

  • Goods must be displayed in a clean, organized, and brand-consistent manner.
  • Dedoles Goods must be clearly separated from other brands.
  • Basic promotional materials (e.g., posters, coupons or flyers) may be used if they comply with Supplier branding and are pre-approved.

4. Customer Communication

  • The Customer must be clearly identified as the seller at the point of sale.
  • Any promotional messaging or signage must not mislead visitors to believe they are interacting directly with the Supplier or an official Dedoles-owned event.

E. General Legal Compliance

The Customer shall ensure that the sale of the Supplier’s Goods complies with all applicable legal, tax, and regulatory requirements in each country or region where the products are sold, regardless of the sales channel (physical store, online store, marketplace, or special event).

This includes, but is not limited to:

  • Issuing valid invoices or receipts in accordance with local tax laws
  • Registering the point of sale, where legally required
  • Complying with consumer protection laws, including rules on returns, complaints, and disclosures
  • Respecting all local regulations related to e-commerce, event-based sales, or product labeling
  • Ensuring that all staff involved in the sale of Dedoles Goods (in stores, at events, or online operations) are employed in accordance with applicable labor laws, including but not limited to minimum wage, contracts, working conditions, and insurance obligations.

The Supplier bears no liability for any legal or regulatory non-compliance on the part of the Customer.
